These Terms of Service (the "Terms") govern your access to and use of the ParaDoor mobile application (the "App") and our website at https://www.paradoor.ai (the "Website," and together with the App, the "Service"), which are operated by SHAOCHIN YU ("ParaDoor," "we," "us," or "our").

By creating an account or using the Services in any way, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance of the Terms

These Terms form a legally binding agreement between you and ParaDoor. By using the Services, you represent that you have the legal capacity to agree to these Terms and that you will comply with them. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity.

2. The Services

Service Description

The Service uses artificial intelligence tools and functionalities to process user-submitted content, including text prompts, workflows, directions, images, voice samples, likeness data, documentation, or other material (collectively, the “Input” or “Inputs”). Based on those Inputs, the Service generates corresponding outputs, which may include images, videos, dialogue, AI character, content generated by AI character, sound effects, or other content (collectively, the “Output” or “Outputs”). Together, Inputs and Outputs are referred to as “Content.” Content does not include any other material you submit or post to or through the Service that is not part of an Input. References to “User Content” elsewhere in these terms of service refer more broadly to any content you upload, post, or submit —including Inputs, but excluding Outputs unless stated otherwise. An “AI character” may be created using your Inputs that can interact with or used by other users of the Service.

AI character Controls

Your AI character operates autonomously when interacting with other users. You are responsible for training and instructing your AI character regarding what information to share or restrict and how to respond to users. You are solely responsible for how you train your AI character and for any Outputs or other content your AI character generates.

Changes to the Services

We may modify, suspend, or discontinue the Services (or any feature) at any time, with or without notice. This includes changes to features, functionality, or the availability of the Service. We will not be liable to you or any third party for any such change. You acknowledge that continued use of the Service after any modification constitutes your acceptance of the updated version.

Availability

We do not guarantee that the Services will be uninterrupted, error-free, or available at all times. Model availability, response speed, and features may vary depending on the third-party AI provider you choose and other factors outside our control.

3. Eligibility and Use by Minors

You must be at least 13 years old (or the higher minimum age required in your country of residence) to use the Services.

You must not use the Service if you are prohibited from doing so under the laws of the United States, your country of residence, or any other applicable jurisdiction. By using the Service, you state that you meet all eligibility requirements under applicable law.

If we learn that anyone under the required age is using the Services, we will close their account and delete their information.

We strive to make the Service family-friendly. However, the content generated by the Service is produced by an artificial intelligence system in response to user input. This is an emerging technology and might not always perform as expected. We are not making any guarantee regarding the appropriateness or suitability of any Output for any particular user.

4. Your Account

To access certain features of the Service, you may be required to create an account (an “Account”) by signing in through a third-party service, such as Google, Facebook, or Apple. You agree to provide accurate, complete, and up-to-date information for your Account at all times.

You are solely responsible for all activity that occurs under your Account and for maintaining the confidentiality and security of your login credentials. We are not liable for any loss or damage arising from your failure to safeguard your Account or password.

You must promptly notify us by the details specified in the Contact Us section below, if you know or suspect that your Account or password has been lost, stolen, misappropriated, or otherwise compromised, or if there is any actual or suspected unauthorized use of your Account.

You must not create a new Account if we have previously removed you or banned you from the Service, unless we have provided prior written consent.

One person, one account. You may not create an account using a false identity or information that is not yours, and you may not share your account credentials in a way that violates these Terms. Each Account may only be used by a single individual. The Service is for your personal, non-commercial use only, unless otherwise permitted by us.

5. Third-Party AI Models

This Section is important.

  • User-selectable models. ParaDoor integrates multiple third-party AI model providers. You can choose which model powers your conversations and content creation. Providers may include Anthropic (Claude), Google (Imagen 2), ByteDance (Seed-Dream) and DeepSeek, among others.

  • Inputs are sent to providers. When you generate content or chat, your inputs are transmitted to the selected provider. Each provider processes your inputs under its own terms and privacy policy, which you should review. Some providers impose additional acceptable-use restrictions. You agree to comply with those when using a given model.

  • Model availability and pricing. Available models, their capabilities, and any usage limits may change over time, and may differ by subscription tier.

6. In-Service Purchases

Virtual Currency

ParaDoor uses virtual currency named "credits" ("Credits") as a universal usage unit for all the Service. You buy Credits as one-time, consumable purchases and spend them to use AI features (e.g., generate content, send messages).

When you use a feature, the required number of Credits is deducted from your balance.

No Cash Value; Non-Refundable; Non-Transferable; Expiration

Credits and other in-Services items:

  • Have no monetary value and are not real currency or a financial instrument;

  • Are licensed, not sold, and remain the property of ParaDoor;

  • Are non-refundable and non-transferable, except as required by law;

  • Purchased Credits never expire; however, Credits obtained through promotional giveaways may be subject to time limitations or restrictions on available functionalities.

Billing and Refunds

All purchases are billed and processed by Apple (App Store) or Google (Google Play Billing) (collectively, “Payment Service”), not by ParaDoor. The providers of Payment Service may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your payment. Please contact the relevant providers of Payment Service for details. You authorize us and providers of Payment Service to share your payment information and transaction details as needed to complete your transactions. The providers of Payment Service, rather than us, provide the relevant payment services to you in connection with your payment of the Credits. You acknowledge and agree that you will also be bound by the policies, terms and conditions of the relevant providers of Payment Service.

Fees and Taxes

We may change prices of the Credits or introduce new purchases at anytime; we will notify you of any price increase before it applies. You are responsible for any taxes associated with your purchases.

7. Rights We Grant You

Right to Use the Service

Subject to your compliance with these terms of service and any applicable policies, We hereby grant you a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to access and use the Service solely for your personal, noncommercial use unless otherwise permitted by us.

Subject to these Terms of Service, commercial use rights are granted under the Content generated by or through your AI character. You may not separately re-stream, redistribute or license your AI character content for monetization outside of the Service without our prior written consent.

We may interrupt or suspend your access to the Service on one or more occasions for maintenance, updates, or other operational reasons, and shall not be liable for any such interruptions.

Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these terms of service. You must not do any of the following:

  1. copy, download (other than temporary caching for display), modify, distribute, transmit, display, perform, publish, license, create derivative works from, or sell any part of the Service or its content;

  2. use, reproduce, remove, or alter any copyright, trademark, logo, or other proprietary notices displayed on or through the Service, or use framing, metatags, or other techniques to enclose or reference ParaDoor’s trademarks, trade dress, or other proprietary materials;

  3. upload, post, or otherwise make available images or likenesses of individuals without their consent or legal right to do so, including creating an AI character using another person's likeness, voice, or personal characteristics without explicit written permission or ownership of the relevant intellectual property rights;

  4. decompile, reverse engineer, disassemble, decode, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Service;

  5. use bots, scripts, hacks, or unauthorized third-party software to modify or interfere with the Service;

  6. use the Service for any commercial purpose, including advertising, marketing, or selling products or services, except to the extent expressly authorized by us, access or use the Service in any manner that could disable, disrupt, damage, impair, or interfere with the normal operation of the Service or with any other user’s access to or use of the Service;

  7. attempt to gain unauthorized access to the Service, other user accounts, or the systems or networks connected to the Service, or interfere with their operation;

  8. circumvent, disable, remove, or otherwise interfere with any security feature, content protection, or access control mechanism of the Service;

  9. use any robot, spider, scraper, crawler, or other automated or manual means to access, extract, copy, or collect data or content from the Service, except that operators of public search engines are granted a revocable, limited license to use spiders solely to index publicly available materials to create searchable indices (but not caches or archives);

  10. introduce or transmit any viruses, worms, trojan horses, malware, or other harmful or disruptive code or materials into or through the Service;

  11. upload, submit, or otherwise make available any content that is unlawful, deceptive, harassing, hateful, obscene, excessively violent, defamatory, libelous, pornographic, invasive of privacy or publicity rights, discriminatory, or otherwise objectionable or prohibited matters including by impersonating any person or entity, or misrepresenting your affiliation with any individual or organization, including us, or using an AI character to impersonate another person, commit fraud, harass, scam, or damage the reputation of any individual;

  12. upload or make available (1) unsolicited advertising, promotional materials, or spam, (2) any personal, financial, or sensitive information (such as government IDs, social security numbers, or health data) without proper authorization or consent, or (3) contests, sweepstakes, barter offers, pyramid schemes, or similar commercial activities without our prior written consent;

  13. use the Service or any Outputs to research, train, fine-tune, or develop any machine learning or artificial intelligence system that competes with our products or services;

  14. use the Service to generate Outputs in violation of applicable law, intellectual property rights, contractual restrictions, or other legal obligations;

  15. access or use the Service in any way not expressly permitted by these terms of service;

  16. in anyway that violates, or promotes, facilitates, or contributes to violation of, any applicable federal, state, local, or international law, ordinance, or regulation;

You must not use the Service or any Output:

  1. In anyway that violates, or promotes, facilitates, or contributes to violation of, any applicable federal, state, local, or international law, ordinance, or regulation (collectively, “Laws”). Laws include, without limitation, Laws applicable to: design, development, deployment, implementation, operation, and use of AI technology; and privacy and data protection.

  2. For exploiting, harming, or attempting to exploit or harm, children in any way, whether or not prohibited by Law, including by: distributing or promoting child sexual abuse material; facilitating or promoting trafficking, sextortion, grooming, or abuse of children; exposing children to sexual or other inappropriate content; collecting children’s personal information without proper disclosures and consent; or using children’s personal information for secondary purposes without proper disclosures and consent.

  3. For engaging in, promoting, or facilitating human trafficking or sexual solicitation, exploitation, or violence.

  4. For engaging in, promoting, or facilitating nonconsensual sexual content, including but not limited to: nonconsensual deepfake pornography; sexual violence, coercion, or abuse; or any other form of nonconsensual or exploitative material.

  5. To deceive, defraud, mislead, misinform, or disinformothers, including to: impersonate any person without authorization, consent, and legal right; represent, or otherwise deceive or mislead others to think, that Outputs are human-generated; engage in academic dishonesty or plagiarism; distribute “spam”; or distribute or promote misinformation or disinformation.

  6. To engage in, promote, facilitate, incite, or contribute to harassment, discrimination, violence, terrorism, abuse, bullying, threats, intimidation, or hateful behavior, content, or speech.

  7. In anyway that you know or should know infringes or is likely to infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any person.

  8. In anyway that compromises or violates the legal rights (including the rights of publicity and privacy) of any person, including by:

    • accessing, collecting, soliciting, processing, disclosing, or sharing personal information in any manner that does not strictly comply with Laws and any disclosures;

    • conducting unlawful monitoring, tracking, or surveillance of individuals; or

    • using or distributing digital replicas in any manner that does not strictly comply with Laws, including, without limitation, all disclosure, consent, and authorization requirements imposed by Laws.

  9. To generate or provide legal, financial, health, medical, tax, or other professional advice, decisions, or recommendations.

  10. To develop, use, operate, produce, market, exchange, or distribute weapons, explosives, or any dangerous, illegal, regulated, or controlled substances, products, or materials.

  11. To engage in or facilitate political campaigning or lobbying or the disruption or interference with any election process, including to generate campaign materials or political advertisements.

  12. To advertise, promote, or facilitate the sale of any goods or services without our prior written authorization.

You must not use the Service to submit, upload, or input any Input, or generate or produce any Output, that:

  1. Violates Laws or promotes or facilitates any activity that violates Laws.

  2. Promotes, describes, or depicts exploitation, abuse, or harm to a child, including:

    • child sexual abuse material;

    • content impersonating or intended to impersonate a child; and

    • any scenario involving non-adult participants in sexual situations, whether real, fictional, orAI-generated.

  3. Includes, promotes, or normalizes nonconsensual sexual content, including but not limited to:

    • rape, sexual assault, coercion, or abuse;

    • incest, necrophilia, or bestiality; or

    • any content involving real or simulated nonconsensual sexual situations.

  4. Is obscene under applicable Laws, or depicts extreme or violent sexual acts in violation of platform guidelines.

  5. Includes nonconsensual deepfake orAI-generated sexual content involving real individuals, or otherwise violates applicable Laws or platform standards on consent and impersonation.

  6. Is deceptive, fraudulent, misleading, or otherwise intended or likely to misinform or disinform others, including:

    • defamatory content;

    • fake online reviews, comments, or other engagement; deepfakes presented as authentic;

    • “spam”; and

    • false information or content related to health, safety, laws and regulations, or elections.

  7. Includes, describes, or promotes harassment, discrimination, violence, terrorism, abuse, bullying, threats, intimidation, or hateful behavior, content, or speech.

  8. You know or should know infringes or is likely to infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any person.

  9. Violates the legal rights (including the rights of publicity and privacy) of any person or contains any material that could give rise to any civil or criminal liability under Law, including, without limitation, digital replicas created or generated in any manner that does not strictly comply with Laws and all consent and authorization requirements imposed by Laws.

  10. Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person.

  11. Impersonates any person without authorization, consent, and legal right, or misrepresents your identity or affiliation with any person.

  12. Gives the impression that it emanates from or is endorsed by us or any person, if this is not the case.

  13. Includes any viruses, trojan horses, backdoors, malware, worms, logic bombs, malicious code, or other technology or material that is malicious or technologically harmful.

  14. That, in our sole discretion, contradicts our values or is objectionable.

Responsibility for Content

The Service, includes the right to create, operate or train your AI character or interact with another user’s AI character (“User Content”). This includes Inputs and other user-submitted content, such as profile information, or messages. Outputs generated by the Service are not considered “User Content” unless you choose to publish or share them.

By submitting User Content, you hereby grant us a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content as necessary to operate, improve, and promote the Service, including using User Content to train, fine-tune, and improve our AI models that power the Services. This license includes the right for us to make User Content available to our service providers and contractors in connection with providing and supporting the Service. This license remains in effect for as long as your User Content is stored on the Service.

You further state that the following facts are accurate: no third party owns or retains rights that would prevent you from granting this license; and any applicable moral rights in the User Content have been waived or validly licensed to you.

We do not claim ownership of your User Content. You retain all rights in your Inputs and the Outputs generated through your use of the Service, subject to these terms of service.

Content Provided by Other Users

The Service may include User Content submitted by other users, including creators of an AI character. We do not control, endorse, or make any statements regarding that content, and disclaim all liability arising from it. By interacting with an AI character on the Service, you acknowledge and agree that the AI character is not the creator and does not represent the real-time thoughts, opinions, or actions of the creator. Your use of, interactions with or reliance on any User Content made available by others through the Service is at your own risk.

User Responsibility

You are solely responsible for your interactions with other AI characters in connection with the Service. We are not responsible for any disputes or issues that arise between you and other users but reserve the right, in our discretion, to intervene if necessary. We will not be liable for any loss, damage, or liability arising from your interactions with others through the Service.

No Obligation to Pre-Screen Content

We are not obligated to monitor, review, or pre-screen any User Content, but reserve the right to do so at our sole discretion. By using the Service, you consent to that monitoring, including of chat, text, and voice communications, to the extent permitted by law.

You acknowledge that you have no expectation of privacy regarding User Content transmitted through the Service. If we choose to review, refuse, or remove any User Content, we do so for our own benefit and not on your behalf.

Investigations

We may monitor or review activity on the Service, including User Content. We reserve the right to investigate any suspected violations of these terms of service or applicable law.

We may remove any User Content, suspend or terminate access to the Service, or take any other action it considers appropriate in response to actual or suspected violations. If we remove or disable access to any User Content or restricts your use of the Service in connection with a suspected violation, we will notify you without undue delay, including the reasons for that action, whether it was based on automated or manual review,

Content for purposes of moderation, takedown, and complaint handling.

In addition to the rights described above, we may refer any suspected illegal activity to law enforcement or other authorities. To the extent permitted by law, we may also disclose information or content related to your use of the Service—including User Content—if it reasonably believes such disclosure is necessary to (1) comply with applicable laws, legal process, or government requests, (2) enforce these terms of service, (3) respond to claims of third-party rights violations, (4) respond to customer support requests, or (5) protect the rights, safety, or property of us, users, or the public.

General Practices Regarding Use and Storage

We may establish general practices and limits concerning use of the Service, including limits on storage capacity, data retention periods, and account inactivity. You acknowledge that we may delete or disable access to User Content or terminate inactive accounts in accordance with these practices, and that we have no obligation to retain any User Content beyond the limits set by us or applicable policies.

Account Suspension and Termination

We may suspend or terminate your access to the Service, your AI character, your Account, or any portion of it, at any time and for any reason, including if we believe you have violated these terms of service, failed to make payment, or engaged in any fraudulent, abusive, or unlawful activity. Upon termination or suspension of your Account, your AI character will also be immediately suspended or terminated, any scheduled interactions will be cancelled, and any third-party platform integrations will cease. We are not responsible for notifying third-party platforms or users who may have been interacting with your AI character. We may also suspend or discontinue the Service generally, or any part of it, at anytime and without notice.

We may delete or remove any of your Content in connection with the suspension or termination of your Account, but we are not obligated to do so. We are not responsible for the deletion or failure to delete any of your Content.

If your Account is terminated for breach, you may not create another Account without our prior written consent.

8. Ownership

Ownership of the Service

The Service, including its design, features, software, proprietary materials, and all related intellectual property rights, are owned by us or our licensors and are protected by copyright, trademark, and other laws. You must not remove, alter, or obscure any proprietary notices or to use the Service in a way that is inconsistent with our ownership rights. We and our licensors reserve all rights not expressly granted under these terms of service.

Ownership of Trademarks

The names, logos, product and service names, designs, and slogans used in connection with the Service—including the term ParaDoor, the ParaDoor logo, and any related branding — are trademarks of us, or our licensors. All other trademarks, trade names, or logos that appear on the Service are the property of their respective owners. You must not use any of these marks without prior written permission from the applicable rights holder.

Inputs and Outputs

To the extent permitted by law, we may review or monitor Inputs and Outputs using automated or manual tools.

We do not claim ownership of any Inputs you submit or Outputs generated through your use of the Service. As between you and us, you retain all interest in those Outputs. To the extent we acquire any interest in the Outputs, we hereby assign all interest to you. You acknowledge that Outputs might not qualify for copyright or other legal protections under applicable law, and we make no representations regarding their eligibility for those protections.

If you create an AI character using the Service, you retain ownership of your AI character. You also retain ownership of all personal data, likeness, voice samples, and other materials you provide to create or train your AI character. We will take a profit share of revenue you earn from monetizing your AI character on the platform, as described in the Websites.

You acknowledge that, due to the nature of generative artificial intelligence, Outputs may not be unique, and other users may generate similar or identical Outputs. You hereby waive any claim against ParaDoor or its users based on similarities between your Outputs and those generated by others.

Use of Content for Model Development

Unless otherwise agreed in writing, you acknowledge that we may use Content—including Inputs, Outputs, and your interactions with the Service—to train, improve, and develop its machine learning models, algorithms, and related technologies and services (“Models”). This may include use for purposes such as content moderation, labeling, classification, and performance optimization. [Notwithstanding the foregoing, any Inputs used to create an AI character (including your likeness, voice samples, and personal characteristics) will only be used to develop, operate,improve and train your AI character and will not be used to train other Models or create AI representations for other users.] Upon deletion of your Account, all data associated with your AI character will be permanently deleted.

To the extent any rights in your Content are necessary for this use, you hereby grant us a nonexclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, analyze, and modify that Content for the purposes described above.

You remain solely responsible for the legality, accuracy, and appropriateness of your Inputs and any resulting Outputs, regardless of whether they are generated with assistance from the Service.

Where required by applicable law, we may provide transparency regarding how Outputs are generated, how moderation decisions are made, and how recommender systems operate.

Username Attribution

By making User Content or an AI character available on any public area of the Service, including interacting with other users’ AI characters, you hereby grant us permission to identify you by your [user name (which may be a pseudonym)] as the source of that User Content. This permission applies to any use, reproduction, or display of your User Content in connection with the Service, including in publications or promotional materials, regardless of the format or medium.

Feedback and Unsolicited Submissions

We do not accept or consider unsolicited ideas, proposals, or materials for new products,features, or services. If you submit any feedback, suggestions, or other unsolicited materials, you do so with the understanding that we have no obligation to review, compensate you for, or return them.

You acknowledge that we may use or disregard any such submissions without restriction, and without any obligation to you, even if they are similar to or the same as ideas independently developed by us. You further acknowledge that all interest in any feedback you provide regarding the Service—including ideas, suggestions, improvements, or other input—will belong solely to us. To the extent any rights do not automatically vest in us, you hereby assign them.

9. Copyright and DMCA Policy

We respect intellectual property and respond to clear notices of alleged infringement under the Digital Millennium Copyright Act (DMCA) and similar laws. If you believe your copyrighted work has been copied in a way that constitutes infringement, send a notice to us by the details specified in the Contact Us section below, including:

  • A physical or electronic signature of the copyright owner or authorized agent;

  • Identification of the copyrighted work claimed to have been infringed, or, if multiple works are involved, a representative list of such works;

  • Identification of the material that is claimed to be infringing and its location within the Service (e.g., a link to the infringing content or other description to help us locate it);

  • Your contact information (including your full name, address, phone, email);

  • A statement that you have a good-faith belief that the use is not authorized; and

  • A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the owner.

We will process valid notices and may terminate accounts of repeat infringers.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PARADOOR AND ITS LICENSORS, AND PARTNERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Service uses artificial intelligence to generate Output based on user Input. You acknowledge that Output may be unpredictable, inaccurate, biased, offensive, explicit, or otherwise objectionable. We do not review, verify, or endorse any Output generated by the Service, including any AI characters, and you assume full responsibility for any reliance on, use of, or actions taken based on Output.

The Output, including AI characters, are fictional and intended for entertainment purposes only. Except with respect to AI characters, any resemblance to real persons, living or dead, or actual events is purely coincidental. We do not claim that Output represents factual information, real events, or real individuals. You acknowledge that Output may contain fantasy elements that are not intended to depict reality or factual accuracy.

An AI character is a computer-generated simulation and is not a real person. By creating or interacting with an AI character, you acknowledge that (1) an AI character is not the creator and does not represent the real-time thoughts, opinions, actions, or endorsements of the creator, and any statements, opinions, or content generated by an AI character are Outputs and should not be attributed to or relied upon as the views of the creator, us or any real person, and (2) AI characters are not a substitute for human relationships, mental health support, medical care, legal advice, financial guidance, or any other professional service.

We are not warranting that Output will comply with any applicable laws, regulations, or community standards, including but not limited to those related to obscenity, defamation, privacy, intellectual property, or other legal restrictions. You are solely responsible for ensuring that your use of the Service and any Output complies with all applicable laws in your jurisdiction.

You acknowledge that the quality, appropriateness, and accuracy of Output depend on the Input you provide. We are not responsible for any Output that is unlawful, infringing, harmful, misleading, offensive, or otherwise inappropriate that may be generated as a result of your Input. If you encounter objectionable or inappropriate Output, you should discontinue use of the Service and report the issue if applicable.

Output in the Service does not constitute an endorsement, representation, or warranty by us regarding its accuracy, legality, or suitability.

Your use of the Service, including any creation of or interaction with an AI character, any materials accessed through the Service, and any items obtained through the Service is at your own risk. The Service, any materials accessed through the Service, and any items obtained through it are provided “as is” and “as available,” without any warranties, either express or implied. Neither we nor any person associated with us makes any warranty regarding the completeness, security, reliability, quality, accuracy, or availability of the Service. Without limiting the preceding, neither we nor anyone associated with us states that (1) the Service, any materials accessed through the Service, or any items obtained through it will be accurate, reliable, error-free, or uninterrupted, (2) that defects will be corrected, (3) that the Service or the server that makes it available are free of viruses or other harmful components, (4) that any User Content will be secure or not lost or altered, or (5) that the Service or any items obtained through it will otherwise meet your needs or expectations.

We are not making any warranty, whether express or implied, statutory, or otherwise, including but not limited to any warranty of merchantability, noninfringement, and fitness for a particular purpose.

The foregoing does not affect any warranties that cannot be excluded or limited under law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PARADOOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES — WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER THEORY — INCLUDING DAMAGES CAUSED BY: (i) THE USE OF OR INABILITY TO USE THE SERVICES; (ii) THE CONDUCT, CONTENT, OR STATEMENTS OF OTHER USERS OR THIRD PARTIES; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (iv) ANY THIRD-PARTY AI MODEL OR AI-GENERATED OUTPUT.

Aggregate liability cap. PARADOOR'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE [SIX (6)] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) [USD $100].

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless ParaDoor and its employees, and agents (if any) from and against any claims, damages, losses, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content, including any Outputs you generate or distribute and any Outputs generated by your AI character; (b) your use of the Services or violation of these Terms; (c) your violation of any law or the rights of any third party (including any AI model provider); (d) any dispute between you and another user; or (e) your negligence or willful misconduct.

13. Termination and Suspension

You may delete your account at any time through [Settings → Account Settings→ Delete Account].

We may suspend or terminate your access to the Services at any time, for any reason (including violation of these Terms, inactivity, or risk to the Services), without notice or liability. Upon termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination (e.g., intellectual property, disclaimers, indemnity, dispute resolution) will remain in effect.

14. Governing Law, Dispute Resolution and Arbitration

Governing Law

To the fullest extent permitted by applicable laws and regulations, the validity, interpretation, modification, supplementation, termination, execution of this Agreement and any dispute or claim resulting from or in connection with this Agreement shall be governed by and construed in accordance with the laws of Singapore, provided that nothing shall prevent us from bringing proceedings to protect our intellectual property rights before any competent court in any other jurisdiction.

Dispute Resolution

Any dispute, controversy or claim (whether in contract, tort or otherwise) arising out of, relating to, or in connection with this Agreement, including their existence, validity, interpretation, performance, breach or termination shall be firstly settled by friendly and amicable negotiation between you and us. If the negotiation fails, it will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the arbitration rules of SIAC then in force when the Notice of Arbitration is submitted by a party. The seat of the arbitration will be Singapore, and all arbitration proceedings will be conducted in English.

The arbitration will be conducted by video conference if possible, but if the arbitrator determines a hearing should be held in person, the venue of the hearing will be mutually agreed upon, failing which the venue of the hearing shall be determined by the sole arbitrator. You and we agree that any settlement amount offered by any party will not be disclosed to the arbitrator by either party until after the arbitrator determines the final award, if any.

You and we agree that disputes must be resolved on an individual basis only, and cannot be pursued as a plaintiff or class member in any alleged class, consolidated, or representative actions. Class arbitrations, class actions, and representative actions are prohibited. Only individual relief is available. The parties agree to separate and litigate in court any request for public injunctive relief after completing arbitration for the underlying claim and all other claims. The foregoing does not prevent either party from participating in a class-wide settlement. Additionally, you and we knowingly and irrevocably waive the right to trial by jury in any action, proceeding, or counterclaim.

If any part of the terms of this Section 14 is found to be illegal or unenforceable, the remainder will remain in full effect; provided that if a finding of partial illegality or unenforceability would allow class arbitration, class action, or representative action, the entire dispute resolution section will be unenforceable in its entirety.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. All changes are effective immediately when we post them and apply to all access and use of the Service afterwards. But any changes to the dispute resolution provisions will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Service. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

  • Entire agreement These Terms (together with the Privacy Policy and any policies referenced herein) are the entire agreement between you and ParaDoor regarding the Services.

  • Severability If any provision is found unenforceable, the remaining provisions will remain in full force.

  • No waiver Our failure to enforce any right is not a waiver.

  • Assignment You may not assign these Terms without our consent. We may assign them in connection with a sale of assets.

  • Force majeure We are not liable for delays or failures caused by events beyond our reasonable control.
